Ctrip signs deal with Wing On Travel

Ctrip’s wholly owned subsidiary, C-Travel International Limited, has entered into an agreement with Wing On Travel (Holdings) Limited to increase its presence in Hong Kong.

As per the deal, C-Travel has agreed to invest in and Wing On Travel agreed to sell to C-Travel, 90 percent of the issued share capital of Wing On Travel’s travel service segment (operated through Wing On Travel’s subsidiary, HKWOT (BVI) Limited), for a total consideration of approximately US$88 million in cash.

Ctrip stated that this investment “will enable Ctrip to offer more comprehensive products and elevated services to domestic, outbound and inbound travellers”. The company hopes to attract more FIT travellers from Hong Kong to use Ctrip’s services. And, it will also help the company to service high-end urban travellers from Mainland China.

“Ctrip’s track record on M&A has been proven prudent and very generative to our shareholders. Each acquisition or investment that Ctrip made in the past ten years has helped Ctrip to become the leading player for that business segment. We have the same reason for the investment in Wing On Travel,” said Min Fan, Co-founder & CEO of the company.

Headquartered in Hong Kong, Wing On Travel primarily operates in Hong Kong and engages in tour packages, airline ticketing, hotel reservation and inbound and outbound travel operations. It operates approximately 20 branches, along with a call centre and the website - www.wingontravel.com .

Ctrip.com International Ltd, an online travel service provider, plans to invest $88 million to acquire a 90 percent stake in a travel service unit of Wing On Travel (Holdings) Limited of Hong Kong, the company said in a statement yesterday.

Ctrip hopes to strengthen its market position in Hong Kong through the acquisition of the tourism unit of Wing On, which has been offering travel-related services for more than 40 years.

The investment by the NASDAQ-listed company will be subject to several factors, including approval from the shareholders of Wing On Travel.

With more than 17 million tourists from the mainland traveling to Hong Kong every year, the city has become a key tourist destination.

"Ctrip will try to expand business in Hong Kong and the Asian tourism market, with the support of Wing On Travel's mature business operations," Fan Min, CEO of the Shanghai-based company, said in a teleconference yesterday.

Even though the business scale of Wing On Travel's tourism department is small compared with Ctrip's, the company's Chief Financial Officer Sun Jie said she believes that the deal will improve their bottom line.

The acquisition is expected to boost Ctrip's profits by 5 percent annually.

If the deal moves forward, the acquisition will be completed within four to six months.

Last year, airline ticketing reported 25 percent year-on-year growth, accounting for $140 million in revenue, while hotel bookings reported 35 percent year-on-year growth, accounting for $130 million in revenue.

Tourism revenue was up 62 percent year-on-year, becoming the fastest-rising revenue stream for Ctrip.

"Since Ctrip's tourism business has grown at a staggering rate, acquisition of Wing On unit will definitely contribute to the development of their tourism department in the future. That's also one of the major reasons for Ctrip to acquire the travel agency," Ma Xing, Ctrip's public relation's manager, told China Daily.

Kevin Zhang, market analyst at Thomson Reuters said: "With more and more airlines providing hotel and airline booking services - which previously accounted for the majority of Ctrip's revenues - Ctrip has to develop other business segments to maintain its dominance in China's travel industry. That's may be another reason for the acquisition."

Fitch Ratings upgraded China-based travel and hospitality conglomerate Jinjiang International Holdings Co, Ltd.'s Long-Term Issuer Default Rating to 'BBB', from 'BBB-', in May 2024. The upgrade was driven by changes in our Government-Related Entities (GRE) Rating Criteria, published on 12 January 2024. The changes resulted in a four-notch uplift from the Standalone Credit Profile (SCP) of 'bb-', from a three-notch uplift previously. The Stable Outlook reflects our expectation that government support will remain strong and the performance of Jinjiang's hotel portfolio in China and overseas will remain resilient. This should keep EBITDAR/fixed-charge coverage above our negative rating threshold. Key Rating Drivers 'Strong' State Decision-Marking, Oversight: We assess the Shanghai government's decision-making and oversight of Jinjiang as 'Strong', as the company is wholly owned by the Shanghai municipal government, which appoints its senior management and influences its strategies and investment decisions. 'Strong' Precedents of Support: We assess Jinjiang's support precedents as 'Strong', as the government provides consistent support to Jinjiang in the form of capital and asset injections and financial subsidies. There’s a huge uproar in the theater world days before the Tony Awards — as established members of the Broadway press have learned they’re not invited to the show’s red carpet, due to lack of space.

Julie James, program director of SiriusXM’s “On Broadway,” tweeted, “As a 15-year veteran” of the awards with “coverage national fans have come to expect from @sxmOnBroadway, working tirelessly thru the season, I’m beyond deflated & disappointed, dare I say insulted. #thisisNOTBroadway.”

She also posted, “I will add that it’s particularly heartbreaking for those of us who worked hard to keep the spirit of #Broadway & #TonyAwards going thru the whole pandemic shutdown & (still ongoing) recovery. We were there for them, and now we’ve been shut out.”

We hear well-known reporters like Broadway World’s Richard Ridge and TheaterMania’s David Gordon also did not make the cut.

Broadway News’ executive editor Ruthie Fierberg posted that she has not been given access.

Kobi Kassel, of relatively new pub, Theaterly, wrote an open letter to the Tonys, run by the American Theatre Wing and the Broadway League, with the help of an outside public relations team. “Last week, we were notified that there was limited space due to the ceremony’s location this year and that we would not have a spot on the carpet,” Kassel wrote. “Why in a season celebrating the biggest year in recent Broadway memory do we have the smallest carpet to celebrate it. To not include those who work so hard all year long and are the staunchest advocates for the industry on its biggest night is disheartening to say the least.”

The letter also pointed out that while bigger, mainstream outlets like E! News will be there, many are only concerned with A-list talent.

“The artists, designers, stage focused actors are often not given the time of day,” says the letter. “As theater outlets, these are the people we love to highlight — to give credit where credit is due.”   

A Broadway insider tells us they understand why people are frustrated.

“Actors, choreographers, directors, writers, scenic designers and more work tirelessly all year to get this recognition, and it is the theater press who talk to them and write about them,” says our source. “It’s the biggest night of their careers. Room should be made for celebrity press and Broadway press.”

Reps for the Tony’s did not respond immediately to request for comment.
